Hubbell announced sale of Residential Lighting Business and completes acquisition of Systems Control.

Hubbell Incorporated (NYSE: HUBB) announced the execution of a definitive agreement to sell its Residential Lighting business to Kingswood Capital Management, LP, for a cash purchase price of $131 million, subject to customary adjustments. The business sells indoor and outdoor lighting solutions and is expected to generate approximately $190 million in sales in 2023.

“This transaction reflects our ongoing strategy to create a focused portfolio with attractive growth and margin characteristics,” said Gerben Bakker, Chairman, President and Chief Executive Officer. “Hubbell’s portfolio is strategically aligned around grid modernization and electrification megatrends, and our leading positions across the energy infrastructure will enable us to continue effectively serving utility and electrical customers in front of and behind the meter. I would like to thank our Residential Lighting colleagues for their many contributions to Hubbell.”

The transaction is subject to customary closing conditions, including regulatory approvals, and is expected to close in the first quarter of 2024.

Hubbel also announced that it has completed its acquisition of Northern Star Holdings, Inc. (commercially known as Systems Control), a portfolio company of Comvest Partners. Hubbell financed the acquisition and related transactions with net proceeds from borrowings under a new unsecured term loan facility in the aggregate principal amount of $600 million, cash on hand, and issuances of commercial paper.

Systems Control is a leading manufacturer of substation control and relay panels, as well as turnkey substation control building solutions. These highly engineered offerings are mission-critical to grid reliability, enabling utility customers to protect and control substation infrastructure while detecting faults and controlling the flow of electricity.
