ON Semiconductor to Acquire Catalyst Semiconductor, Inc. in an All-Stock Transaction
ON Semiconductor Corporation (Nasdaq: ONNN) and Catalyst Semiconductor, Inc. (Nasdaq: CATS) today announced the signing of a definitive merger agreement providing for the acquisition of Catalyst Semiconductor by ON Semiconductor in an all-stock transaction in which Catalyst shareholders will receive 0.706 shares of ON Semiconductor common stock for each share of Catalyst common stock they own. This represents an equity value of approximately $115 million and an enterprise value of approximately $85 million. Read more »

Zumtobel Group Teams up with CREE to Boost Innovative LED Lighting
To drive the further expansion of its LED business, the Zumtobel Group has initiated a close cooperation with the US LED manufacturer CREE. A listed company, CREE is global market leader for high-performance LEDs and specializes in the development and production of LED products, including chips, in the highest brightness classes. The two companies have agreed that the Zumtobel Group will use CREE High-Brightness LED Chips in new products and projects of all its brands as both companies pursue the goal of driving forward the use of LED technology in the professional lighting sector. Seoul Semiconductor Works with Avnet, the World Largest Electronics Distributor

PHILIPS ANNOUNCES SATISFACTION OF TENDER OFFER CONDITIONS TO ACQUIRE GENLYTE
Amsterdam, the Netherlands Royal Philips Electronics (NYSE:PHG, AEX:PHI) ( Philips ) today announced the satisfaction of all of the conditions to the closing of the tender offer by its wholly owned subsidiary, Golf Merger Sub, Inc. ( Philips Merger Sub ), to acquire all outstanding shares of common stock of The Genlyte Group Incorporated (NASDAQ:GLYT) ( Genlyte ) for $95.50 per Genlyte share, without interest and subject to any applicable withholding of taxes. One of the remaining conditions for the closing of the tender offer included receiving more than 50% of the shares tendered into the offer. As of the close of business on the January 16, 2008 expiration date of the tender offer, Philips Merger Sub had received approximately 26.5 million Genlyte shares tendered into the offer, including 1.8 million Genlyte shares tendered by guaranteed delivery, representing over 96% of the outstanding shares of Genlyte.
